MCC Real Estate acquires 100% equity stake in Minmetals Land Limited.
On October 8, MCC Real Estate Group Co., Ltd. announced that in order to implement the strategic deployment of specialized integration of the real estate sector of China Minmetals, realize the centralized management and specialized operation of real estate business, the company will carry out two connected transactions.
The first transaction is that MCC Real Estate Hong Kong Co., Ltd., a subsidiary of the company, intends to acquire 100% equity of Minmetals Land Limited held by Aibang Enterprises Co., Ltd. The equity will be transferred at the filed assessed value and settled in cash. After the completion of the transaction, the company will include Minmetals Land Limited into its consolidated scope.
The second transaction is that after the completion of the first transaction, Minmetals Construction Investment Management (Beijing) Co., Ltd., a wholly domestic subsidiary of Minmetals Land Limited, will transfer 100% equity of Minmetals Urban Renewal (Beijing) Co., Ltd. it holds to Minmetals Real Estate Group Co., Ltd., the shareholder of the company. Taking June 30, 2026 as the audit base date, the transaction consideration is determined based on the audited net assets attributable to shareholders of Minmetals Urban Renewal, and the transaction will be completed by cash settlement.
This transaction is an equity adjustment within the China Minmetals system, and all parties are under the common control of China Minmetals, which will perform all approval and change procedures in accordance with regulations. The transaction method and the determination method of transaction price comply with the relevant provisions of the State-owned Assets Supervision and Administration Commission of the State Council on the transaction and transfer of state-owned assets of enterprises and the agreement transfer of state-owned property rights of central enterprises, and the internal decision-making procedures have been strictly performed in accordance with laws, regulations and the articles of association of the company.
As for all parties to the transaction, Aibang Enterprises is 100% owned by Minmetals Nonferrous Metals; MCC Real Estate Hong Kong is a wholly-owned subsidiary of MCC Real Estate Group, with total assets of 1.6 billion yuan as of the end of June 2026; Minmetals Construction Beijing has total assets of 12.1 billion yuan as of the end of June 2026; Minmetals Land is a shareholder of MCC Real Estate Group and is 100% owned by China Minmetals.
Among the transaction targets, Minmetals Land Limited obtained privatization approval in February 2026 and delisted from The Stock Exchange of Hong Kong Limited on March 3, 2026; in September 2026, Aibang Enterprises made a cash capital increase of 8.8 billion yuan to it, and all the capital increase funds have been used to repay overseas loans. As of September 30, 2026, its net assets are 3.579 billion yuan, and the net assets attributable to shareholders are 196 million yuan. Financial data shows that as of the end of June 2026, Minmetals Land Limited has total assets of 198.7 billion yuan, total liabilities of 248.64 billion yuan, net assets of -49.94 billion yuan, and an asset-liability ratio of 125.13%. As of the end of June 2026, Minmetals Urban Renewal has total assets of 160 billion yuan, net assets of 80.94 billion yuan, and an asset-liability ratio of 49.01%. It has 31 projects under its control, with business covering 5 major regions and more than 20 cities across the country.
Based on the financial data of MCC Real Estate and Minmetals Urban Renewal in August 2026, it is predicted that after the completion of the overall transaction, the total assets of the company will be 627.24 billion yuan, total liabilities 470.07 billion yuan, net assets 157.17 billion yuan, net assets attributable to shareholders 132.12 billion yuan, minority shareholders' equity 25.05 billion yuan, operating revenue 52.16 billion yuan, net profit -6.24 billion yuan, and asset-liability ratio 74.94%.
